(Under chapter 1702 of the Ohio
Revised Code, Non-Profit Corporation) of Southeast Ohio Training
Network, Inc. The undersigned persons, acting as incorporators for
the purpose of forming a Non-profit Corporation under the laws of
the State of Ohio (Sections 1702.01 et seq of the Ohio Revised Code),
adopts the following Articles of Incorporation and hereby state:

Article I. Name
The legal name of this corporation
shall be Southeast Ohio Training Network, Inc.
The assumed name of this corporation
shall be SOTN.
Article II. Address
The place in the State of Ohio where
the principal office of this corporation is to be located is the
City of Athens, Athens County. The official mailing address of this

Article III. Purpose and Nature
of this Corporation
Section 1.
The purpose for which this Non-profit
Corporation is exclusively organised is to serve its constituents
in the Appalachian, rural southeastern region of the State of Ohio
through the provision of:
* A diverse, interdisciplinary network
for cross-agency training so that corporation members may access
a greater variety of high quality training while saving time, money,
and resources; therefore promoting a higher quality of life and
enhancing access to quality health, educational, social,recreational,
and vocational services for people in said region;
* Activities concerned with the
identification and assessment of regional training and professional
development needs and resources;
* Planning, coordination, and provision
of quality, cost effective, culturally sensitive training for corporation
membership and social service organisations and agencies in said
region to increase communication, learning, efficiency of services,
consumer and staff satisfaction;
* Collaboration and networking forum
for trainers, training coordinators and administrators, in addition
to the provision of training-of-trainers activities;
* Notification of regional training
events;
* Facilitation of sharing of training
sessions and trainers among corporation membership and with staff
from social service organisations and agencies in said region;
* Promotion of the philosophy of
cooperative planning and coordination of cross-agency training while
sharing training, personnel, and costs.
Section 2.
The duration of this corporation
shall be perpetual.
Section 3.
This corporation shall be incorporated
as a Non-profit Corporation under the applicable laws of the State
of Ohio (Section 1702.01 et seq of the Ohio Revised Code) and maintain
exemption under the provisions of Section 501(c)3 of the Internal
Revenue Code of 1954, or the corresponding section of any future
federal tax code.
Section 4.
This corporation is a non-profit,
nonpolitical, nonsectarian social service organisation existing
for a socially-worth while purpose. No part of any earnings shall
benefit any member or family member and/or significant other of
corporation officers or directors. No officer or director of this
corporation shall receive any compensation for his or her services
as an officer or director.
No part of the net earnings of this
corporation shall inure to the benefit of, or be distributable to
its members, trustees, officers, or other private persons, except
that this corporation shall be authorised and empowered to pay reasonable
compensation for services rendered and to make payments and distributions
in furtherance of the purposes set forth in Article III, Section
1 hereof. No substantial part of the activities of this corporation
shall be the carrying on of propaganda, or otherwise attempting
to influence legislation, and this corporation shall not participate
in, or intervene in (including the publishing or distribution of
statements) any political campaign on behalf of or in opposition
to any candidate for public office. Notwithstanding any other provision
of these articles, this corporation shall not carry on any other
activities not permitted to be carried on (a) by a corporation exempt
from federal income tax under Section 501(c)3 of the Internal Revenue
Code, or the corresponding section of any future federal tax code,
or (b) by a corporation, contributions to which are deductible under
Section 170(c)(2) of the Internal Revenue Code, or the corresponding
section of any future federal tax code. This corporation shall not
engage in partisan activities, endorse, or contribute to any political
party or candidate seeking public office, or take a position on
matters before an elected body or government agency other than on
matters consistent with a purpose among these described in Article
III, Section 1. This prohibition shall not be interpreted to deny
individual members of this corporation, its officers and directors,
or its staff his/her right to participate as an individual or speak
on matters of personal concern.
Section 5.
Membership shall be open to all
individuals and social service organisations and agencies interested
in the purpose of this corporation as stipulated in the Corporation
Bylaws.
Section 6.
In the event this corporation is
dissolved as a corporation, all the property and assets shall be
distributed to one or more Social Service Organisation/Agency Members,
which holds exemption from Federal Income Tax under the provisions
of Section 501(c)3 of the Internal Revenue Code of 1954, or the
corresponding section of any future federal tax code, or shall be
distributed to the federal government, or to the State of Ohio or
local government, for a public purpose. Any such assets not so disposed
of shall be disposed of by a court of Competent Jurisdiction of
the county in which the principal office of this corporation is
then located, exclusively for such purposes or to such organisation
or organisations, as said Court shall determine, which are organised
and operated exclusively for such purposes. Under no circumstances
shall any of the property or assets of this corporation be distributed
to any officer, individual member, or staff of this corporation.
