Westside Community
Association Bylaws
Article I Name:
The name of this nonprofit organization is the Westside Community
Association hereafter referred to as the WCA.
Article II Location:
The WCA shall encompass most of ward 1, City Sectors 1 and 2 of the
city of Athens Ohio. (see Map) This area is defined:
on the East by Franklin Ave. and Madison Ave.
on the North by the Hocking River
on the South including all ward 1, excluding Campus
on the West by Athens city Limits
Article III Purpose:
The purpose of this nonprofit Association is to encourage a sense
of community and to provide an opportunity for the residents of the Westside
of Athens to have a voice in city government, maintain social contacts and
engage in a variety of volunteer, advocacy, resource development and educational
activities as appropriate for an organization of this type. This purpose will
be met using the following strategies:
To increase the awareness of residents of the Westside community in its
issues, concerns, and needs.
To increase communications between long term residents, student residents,
and landlords in the Westside neighborhood.
To identify, improve, develop, and revitalize neighborhood common areas.
To promote and create a safe neighborhood in which to live.
To increase participation of the residents of the Westside community in
all aspects of city and county government.
To build collaborative relationships with other neighborhood organizations,
city and county governments, and other nonprofits.
Article IV Membership
The general membership shall be open to residents, property owners,
and persons engaged in business within the Westside neighborhood.
Article V the Executive Board
The Executive Board shall consist of at least 7 persons who
are geographically representative of the neighborhood.
Executive Board members shall be elected by a majority of those in
attendance at a general membership meeting held annually.
Executive Board members shall serve a one year term.
Whenever a vacancy occurs in the Executive Board, such vacancy shall
be filled by majority vote at the next Executive Board meeting. A member of
the Executive Board, who shall absent him/herself from four consecutive meeting,
regular or specially called, shall be considered to have vacated his/her
place.
Article VI Officers
The Officers shall consist of two Co-Chairs, two Co-Secretary,
and Treasurer.
Officers shall be elected by the membership to the Executive Board
at the first meeting held following the meeting specified in Article V.
Officers must reside within the location specified in Article II.
Officers shall serve for a one year term.
Article VII Duties of the Executive Board
The Executive Board will determine the calendar of meetings
and special events.
The Executive Board shall conduct business and take such actions as
may be necessary to accomplish the purpose of the WCA at their monthly meetings.
A majority of the Executive Board members shall constitute a quorum
for the transaction of business.
Article VIII Duties of the Officers
The Co-Chairs shall have general supervisory and directional
powers of the activities of the Executive Board and the Association. One or
both shall preside over all meeting of the executive Board and general membership,
and shall be ex-officio members of all committees.
The Secretary shall record and retain the minutes of all meetings
and distribute minutes to all members.
The Treasurer shall maintain the financial records of the association
and shall be accountable for the funds of the WCA.
Article IX Committees
In Order to carry out the work of the WCA, committees may be
created by a majority vote of the Executive Board.
Committee membership shall consist of all those WCA members interested
in serving on a particular committee.
Committees will appoint their own Chair.
Committees will accomplish the purpose and develop goals of the WCA.
